The Officer Role Charters define the authority, responsibilities, and expectations of the Society’s officers. They promote clarity, accountability, and continuity of leadership, and ensure that officers carry out their duties in alignment with the Society’s Bylaws and Board-adopted policies. All officers serve under the authority of the Board of Directors.
President
- The President is the chief volunteer officer of the Society and shall:Provide leadership to the Board
- Preside over meetings of the Board and membership
- Serve as primary spokesperson unless delegated
- Appoint Workgroups unless otherwise directed
- Ensure that Board decisions are implemented
The President has no unilateral authority beyond that granted by the Board or Bylaws.
Vice President
The Vice President shall:
- Act in the absence or incapacity of the President
- Support the President in leadership duties
- Assume special assignments as requested by the Board
Secretary
The Secretary is responsible for the Society’s corporate records and shall:
- Maintain minutes of Board and membership meetings
- Ensure notices are properly issued
- Maintain official records, including governing documents
- Certify elections and official actions as required
The Secretary maintains records but does not have authority to alter Board approved governance documents except as directed by the Board.
Treasurer
The Treasurer is the chief financial officer of the Society and shall:
- Oversee receipt and disbursement of funds
- Ensure accurate financial records are maintained
- Present financial reports to the Board
- Assist in preparation of the annual budget
- Ensure compliance with applicable financial regulations
The Treasurer executes financial operations under Board-approved policies and does not act independently of Board authorization.
Additional Officers (if established)
Additional officers may be established by the Board, with duties defined at the time of appointment. All such officers serve under the authority of the Board unless otherwise specified in Board resolution or Bylaws.
